Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of PayCircuit's services (the “Platform”). By accessing or using PayCircuit, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use the Platform.

PayCircuit is a B2B SaaS platform operated by PayCircuit EU Ltd, a company registered in the European Union. These Terms are governed by the laws of the European Union and EU GDPR regulations.

2. Service Description

PayCircuit provides automated failed payment recovery services for subscription businesses. Our Platform offers:

  • Monitoring of failed payment events from your Stripe account
  • Smart retry scheduling based on decline codes and timing patterns
  • Automated email, SMS, and in-app notification sequences (dunning)
  • Hosted, white-labeled payment update portal
  • Analytics dashboard tracking recovery rate and revenue recovered
  • Customizable templates, retry logic, and recovery workflows

The Platform is provided “as is” and on an on-demand, subscription basis. Service availability and features may change at our discretion with 30 days notice.

3. Stripe Connect Authorization

To use PayCircuit, you must authorize our Platform to access your Stripe account via Stripe Connect (OAuth). By authorizing PayCircuit:

  • You grant us permission to read webhook events for failed payments, invoices, and customer subscriptions
  • You authorize us to initiate payment retries on your behalf via the Stripe API
  • You authorize us to retrieve your organization and customer metadata from Stripe
  • You can revoke access at any time through your Stripe dashboard

PayCircuit is a Stripe Partner. All access to your Stripe account is governed by Stripe's API terms and permissions model. You remain responsible for all actions taken on your Stripe account, including retries initiated by PayCircuit.

4. Eligibility & Account Terms

4.1 Eligibility

To use PayCircuit, you must:

  • Be a legal business entity or authorized representative of one
  • Be at least 18 years old
  • Have a valid, active Stripe account (Standard or Express)
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not be in violation of Stripe's Acceptable Use Policy

4.2 Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, complete, and current information during registration
  • Notify us immediately of any unauthorized access to your account
  • Maintain the security of your account (we recommend two-factor authentication)

4.3 Account Suspension & Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • Your Stripe account is suspended or closed
  • You engage in fraudulent or abusive behavior
  • You violate applicable laws or regulations
  • Your payment fails and remains unpaid for 30 days

We will provide notice of suspension or termination when reasonably possible, except in cases of fraud or immediate threat to our Platform.

5. Pricing & Payment

5.1 Pricing Tiers

PayCircuit offers the following subscription plans:

  • Starter: €49/month (up to €25K MRR)
  • Growth: €99/month (up to €100K MRR)
  • Scale: €199/month (up to €500K MRR)
  • Performance: 5–10% of recovered revenue (no fixed fee)

Exact features and pricing are available on our pricing page. Prices are in EUR and exclude VAT (if applicable).

5.2 Free Trial

We offer a 14-day free trial of any plan. Trial access is full-featured and requires no credit card. After 14 days, you must choose a paid plan or your account will be suspended.

5.3 Billing & Payment

Billing is monthly, charged on the anniversary of your subscription start date. You authorize us to charge your payment method on file. If a charge fails:

  • We will attempt to retry the charge 3 times over 30 days
  • If payment remains unpaid after 30 days, your account may be suspended
  • You are responsible for any fees charged by your payment provider

5.4 Price Changes

We may change our pricing at any time, but will provide 30 days written notice. Changes apply to new subscriptions immediately and to renewals of existing subscriptions. You may cancel your subscription within 30 days of a price increase.

5.5 No Refunds

All subscription fees are non-refundable. No refunds are provided for partial months or unused services. If you cancel, your access ends at the end of your current billing period.

5.6 Performance-Based Pricing

If you choose our Performance plan (% of recovered revenue), you agree to:

  • Reconciliation of recovered revenue with Stripe webhook data (our source of truth)
  • Monthly invoices based on our calculations of payments successfully recovered
  • Payment due within 30 days of invoice date

6. Intellectual Property

6.1 PayCircuit IP

PayCircuit owns all intellectual property in the Platform, including software, branding, documentation, and templates. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes during your subscription term.

6.2 Your Content

You retain ownership of any content you upload or create (e.g., custom email templates, branding). By uploading content to PayCircuit, you grant us a worldwide, royalty-free license to use, reproduce, and modify it solely to provide the service to you and to display it to your customers (e.g., in recovery emails and the update portal).

6.3 No License to Third Parties

You may not sublicense, sell, rent, transfer, or share access to the Platform with any third party without our prior written consent.

7. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any laws or regulations (including GDPR, CAN-SPAM, CASL, GDPR)
  • Harass, abuse, or harm customers or third parties
  • Send spam, phishing, malware, or fraudulent communications
  • Impersonate, misrepresent identity, or deceive users
  • Circumvent security measures or reverse-engineer the Platform
  • Access or scrape data not intended for you
  • Probe, scan, or test the security or functionality of the Platform without permission
  • Launch DDoS attacks or other malicious activity
  • Use the Platform for illegal gambling, drugs, weapons, or adult content

Violations may result in immediate account suspension and legal action.

8. Warranties & Disclaimers

8.1 NO Guarantee of Recovery Rate

IMPORTANT: While PayCircuit is designed to recover 50–80% of failed payments, we make no guarantee of any specific recovery rate. Actual recovery depends on many factors outside our control, including:

  • Customer willingness and ability to update their payment method
  • Card decline patterns and customer financial situation
  • Stripe's retry success rates and API limitations
  • Email deliverability and customer engagement
  • Customer churn decisions unrelated to payment recovery

You use the Platform at your own risk, and recovery outcomes are not guaranteed.

8.2 “AS IS” Disclaimer

The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. We disclaim all warranties, including:

  • MERCHANTABILITY (fitness for a particular purpose)
  • NON-INFRINGEMENT (the service does not infringe third-party rights)
  • ACCURACY or COMPLETENESS of data
  • UNINTERRUPTED or ERROR-FREE operation

8.3 Third-Party Integrations

PayCircuit integrates with third-party services (Stripe, Resend, Twilio). We are not liable for any outages, failures, or limitations of those services. You are responsible for complying with their terms and conditions.

9. Limitation of Liability

9.1 Cap on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO PAYCIRCUIT IN THE 12 MONTHS PRECEDING THE CLAIM (OR €100 IF YOU PAID LESS).

9.2 Excluded Damages

IN NO EVENT SHALL PAYCIRCUIT BE LIABLE FOR:

  • Lost revenue or lost profits
  • Lost customers or lost business opportunities
  • Indirect, incidental, consequential, or special damages
  • Damages arising from your use or misuse of the Platform
  • Damages arising from unauthorized access or data breaches (except our gross negligence)

EVEN IF PAYCIRCUIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 EU Consumer Protection

If you are a consumer in the EU, some limitations may not apply to you. EU consumer protection laws provide certain statutory rights that cannot be waived.

10. Indemnification

You agree to indemnify and hold harmless PayCircuit, its officers, directors, employees, and agents from any claims, damages, or costs (including legal fees) arising out of:

  • Your use of the Platform in violation of these Terms
  • Your content or communications sent through the Platform
  • Your violation of applicable laws or third-party rights
  • Your abuse or misuse of the Platform

11. Data Processing & Privacy

Your use of PayCircuit is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Platform, you consent to our data practices as described in the Privacy Policy.

For B2B customers, we provide a Data Processing Agreement (DPA) upon request. The DPA governs how we process personal data on your behalf.

As a processor, PayCircuit implements appropriate technical and organizational measures to protect data, including encryption, access controls, and regular security assessments.

12. Term & Termination

12.1 Subscription Term

Your subscription begins on the date you complete sign-up and continues for one month. It automatically renews each month unless you cancel.

12.2 Cancellation

You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for cancellations.

12.3 Our Right to Terminate

We may terminate your account for:

  • Violation of these Terms or our Acceptable Use Policy
  • Non-payment after 30 days notice
  • Illegal or harmful activity
  • Your Stripe account being suspended or closed

12.4 Effect of Termination

Upon termination:

  • Your access to the Platform ends immediately
  • We will revoke your Stripe Connect authorization
  • No active recovery actions will be executed
  • Your data will be deleted within 90 days (as per our Privacy Policy)

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be announced via email or prominent notice on our website at least 30 days before they take effect. Your continued use of the Platform after changes constitute acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and the relevant laws of the jurisdiction in which PayCircuit operates. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.

15.2 Dispute Resolution

Before pursuing formal legal action, the parties agree to attempt informal resolution through good faith negotiation for 30 days. If negotiation fails, either party may pursue legal remedies in the courts of the European Union.

15.3 EU Consumer Rights

If you are a consumer in the EU, you have statutory rights under EU and national consumer protection laws that cannot be waived. These Terms do not limit any of your statutory consumer rights.
