These Terms of Service (“Terms”) govern your use of PayCircuit's services (the “Platform”). By accessing or using PayCircuit, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use the Platform.
PayCircuit is a B2B SaaS platform operated by PayCircuit EU Ltd, a company registered in the European Union. These Terms are governed by the laws of the European Union and EU GDPR regulations.
PayCircuit provides automated failed payment recovery services for subscription businesses. Our Platform offers:
The Platform is provided “as is” and on an on-demand, subscription basis. Service availability and features may change at our discretion with 30 days notice.
To use PayCircuit, you must authorize our Platform to access your Stripe account via Stripe Connect (OAuth). By authorizing PayCircuit:
PayCircuit is a Stripe Partner. All access to your Stripe account is governed by Stripe's API terms and permissions model. You remain responsible for all actions taken on your Stripe account, including retries initiated by PayCircuit.

We will provide notice of suspension or termination when reasonably possible, except in cases of fraud or immediate threat to our Platform.
PayCircuit offers the following subscription plans:

We offer a 14-day free trial of any plan. Trial access is full-featured and requires no credit card. After 14 days, you must choose a paid plan or your account will be suspended.
Billing is monthly, charged on the anniversary of your subscription start date. You authorize us to charge your payment method on file. If a charge fails:
We may change our pricing at any time, but will provide 30 days written notice. Changes apply to new subscriptions immediately and to renewals of existing subscriptions. You may cancel your subscription within 30 days of a price increase.
All subscription fees are non-refundable. No refunds are provided for partial months or unused services. If you cancel, your access ends at the end of your current billing period.
If you choose our Performance plan (% of recovered revenue), you agree to:
PayCircuit owns all intellectual property in the Platform, including software, branding, documentation, and templates. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes during your subscription term.
You retain ownership of any content you upload or create (e.g., custom email templates, branding). By uploading content to PayCircuit, you grant us a worldwide, royalty-free license to use, reproduce, and modify it solely to provide the service to you and to display it to your customers (e.g., in recovery emails and the update portal).
You may not sublicense, sell, rent, transfer, or share access to the Platform with any third party without our prior written consent.
You agree not to use the Platform to:
Violations may result in immediate account suspension and legal action.
IMPORTANT: While PayCircuit is designed to recover 50–80% of failed payments, we make no guarantee of any specific recovery rate. Actual recovery depends on many factors outside our control, including:
You use the Platform at your own risk, and recovery outcomes are not guaranteed.
The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. We disclaim all warranties, including:
PayCircuit integrates with third-party services (Stripe, Resend, Twilio). We are not liable for any outages, failures, or limitations of those services. You are responsible for complying with their terms and conditions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO PAYCIRCUIT IN THE 12 MONTHS PRECEDING THE CLAIM (OR €100 IF YOU PAID LESS).
IN NO EVENT SHALL PAYCIRCUIT BE LIABLE FOR:

If you are a consumer in the EU, some limitations may not apply to you. EU consumer protection laws provide certain statutory rights that cannot be waived.
You agree to indemnify and hold harmless PayCircuit, its officers, directors, employees, and agents from any claims, damages, or costs (including legal fees) arising out of:
Your use of PayCircuit is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Platform, you consent to our data practices as described in the Privacy Policy.
For B2B customers, we provide a Data Processing Agreement (DPA) upon request. The DPA governs how we process personal data on your behalf.
As a processor, PayCircuit implements appropriate technical and organizational measures to protect data, including encryption, access controls, and regular security assessments.
Your subscription begins on the date you complete sign-up and continues for one month. It automatically renews each month unless you cancel.
You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for cancellations.

We may modify these Terms at any time. Material changes will be announced via email or prominent notice on our website at least 30 days before they take effect. Your continued use of the Platform after changes constitute acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the European Union and the relevant laws of the jurisdiction in which PayCircuit operates. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.
Before pursuing formal legal action, the parties agree to attempt informal resolution through good faith negotiation for 30 days. If negotiation fails, either party may pursue legal remedies in the courts of the European Union.
If you are a consumer in the EU, you have statutory rights under EU and national consumer protection laws that cannot be waived. These Terms do not limit any of your statutory consumer rights.
